Terms

These are the terms our engagements run on. They are written plainly on purpose. They are a starting point rather than settled law — have a solicitor review them before you rely on them.

How an engagement starts

Every engagement starts with a pilot: one fixed fee, agreed in writing before it starts, covering the scope and the build of your first automation. You keep the scope document either way.

The pilot fee does not change once it is agreed. If scoping shows the work is larger than the pilot allows for, we tell you before building it and you decide. Anything we build after the pilot is quoted at a fixed price before it starts.

What you own

You own the automations, the configuration, the documentation and any custom tooling we build for you, on payment.

We keep ownership of our own general-purpose libraries and methods, and a non-exclusive right to describe the work in anonymised form unless you ask us not to.

What we need from you

Access to the relevant systems, a named person who knows how the work is currently done, and roughly two hours of their time a week during a build.

Accurate information. If a system behaves differently from how it was described, timelines move and we will say so early rather than late.

Running and support

On a Run retainer we monitor the systems, respond to failures within four working hours, and include small changes. Material new work is quoted separately.

Either side can end a retainer with 30 days’ notice. On ending it we hand over the workflows, credentials and documentation properly.

Confidentiality

We treat everything we see inside your business as confidential, indefinitely, and we will sign your NDA if you have one. We expect the same about our methods and pricing.

Responsibility and its limits

We build systems that keep a human in the loop for anything the system is not confident about, and we will tell you where those thresholds sit.

Our liability for any engagement is limited to the fees paid for it in the preceding [12] months, except where the law does not allow a limit. We are not liable for indirect or consequential loss.

We carry [professional indemnity] insurance to [£amount]. Certificate on request.

Payment

The pilot fee is payable as set out in the pilot agreement. Later builds are [50]% on start and the balance on go-live. Retainers are billed monthly in advance. Payment terms are [14] days.

Governing law

These terms are governed by the law of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
